PREPARATION & SHIPMENT OF CUSTOMERS PURCHASE ORDER

Purchase orders will be prepared and shipped by our various suppliers in both Europe and Africa with the understanding by both Seller (Baystate Industries, Inc.) and Buyers of the following:

The product(s) in the Purchase Order will be measured per normal European and African standards of measurement, i.e., metric, as compared to the standard of measurement in the US, imperial.  The net tally in the packing might be more or less than what is measured at the mill when the lumber is received in the US.  Baystate Industries will do its utmost to ensure that the measurement or net tally is as accurate as possible, however, Baystate Industries will be absolved of any claim issues in such a situation.  If the received lumber, when measured by the Buyer, is 1 cubic meter (424BF) or more, Buyers shall notify Baystate Industries and allow Baystate Industries sufficient time to alert the supplier and come up with a mutually acceptable remedy.  The full payment for the product received must be settled while the remedy for the shortage is discussed and settled either in monetary terms or credit on the next order by Buyer.

In the event that Buyer notifies Baystate Industries that either the quality of the Product or the quantity of the Product is less than specified, Buyer will refrain from adjusting the received condition of the Product ---- Air Dried lumber to Kiln Dried lumber, for example, or make partial sale of Product received that is acceptable to the Buyer until an amicable and mutually agreeable solution has been agreed to by both parties in writing.

ALL BAYSTATE CUSTOMERS ARE ADVISED THAT ALL OUR PRODUCTS ARE PRODUCED AND SHIPPED FROM MILLS WE REPRESENT IN GHANA, CAMEROON, GABON, CONGO  AND OTHER AFRICAN COUNTRIES AND THEREFORE ARE GOVERNED BY THE TIMBER HARVESTING, PRODUCTION AND EXPORTING RULES AND REGULATIONS PERTAINING TO THOSE COUNTRIES.  IN THE UNLIKELY EVENT THERE IS ANY CLAIM PERTAINING TO HOW AN ORDER OR CONTRACT WAS PRODUCED, THE TIMBER EXPORTING REGULATIONS FROM THE ORIGINING COUNTRY WILL GUIDE HOW BAYSTATE INDUSTRIES, INC. HANDLES AND EVENTUALLY SETTLES ANY SUCH CLAIMS.  BAYSTATE WILL ALWAYS BE LOOKING OUT FOR THE BEST INTEREST OF OUR CUSTOMER AFFECTED.
